1. Scope, Definitions, and Relationship to the Agreement
This AI & Automation Disclaimer (the “Disclaimer”) supplements and is incorporated into the OppAction Terms of Service (the “Terms”). It applies to each Customer and Authorized User that accesses or uses AI-assisted functionality or an enabled automated or connected workflow. Capitalized terms not defined here have the meanings given in the Terms.
“AI Output” means text, scores, classifications, recommendations, analyses, drafts, metadata, or other content generated or materially assisted by an artificial-intelligence or machine-learning system through the Services.
If this Disclaimer conflicts with another Agreement document, the order of precedence in the Terms controls: (a) a separately signed enterprise agreement; (b) the applicable Order; (c) an applicable Data Processing Addendum (the “DPA”); (d) an accepted Feature Addendum; (e) the Terms; and (f) incorporated policies, including this Disclaimer. Each document controls only within its stated scope. The Privacy Policy provides notice about Personal Information, the DPA controls OppAction’s processor or service-provider processing, and the Acceptable Use Policy (the “AUP”) governs permitted use.
2. Current Functionality and Feature Scope
OppAction currently provides Shopify-focused ecommerce listing analysis, scores, optimization drafts, catalog workflows, and related review tools. Shopify is the current live Marketplace connector unless OppAction identifies another integration as production-ready in the Services or Documentation.
References in this Disclaimer to APIs, batch actions, automation, synchronization, publishing, AI agents, or other connected functionality apply only if OppAction actually makes the feature available to Customer and Customer deliberately enables or uses it. A public API, autonomous agent, or additional Marketplace connection is not included merely because this Disclaimer describes risks that could apply to such a feature.
3. Nature and Limitations of AI Outputs
AI systems are probabilistic and non-deterministic. AI Outputs may vary between requests and may be inaccurate, fabricated, incomplete, misleading, biased, outdated, inconsistent, unsuitable for Customer’s circumstances, or based on incomplete context. A confident tone, score, label, citation, or recommendation does not establish accuracy, causation, legal compliance, commercial value, or Marketplace acceptance.
- Scores, benchmarks, predictions, and confidence indicators are informational estimates, not audited measurements or promises of future performance.
- AI Outputs may omit material facts, misunderstand product attributes, or introduce claims that Customer did not provide or cannot substantiate.
- Models, prompts, data sources, provider systems, and methodologies may change, which can change results over time.
- Safeguards, filters, and review tools may fail to detect an error, prohibited use, infringement, or compliance issue.
4. Human Review and Merchant Responsibility
Customer must independently review, verify, substantiate, and approve each AI Output before publication, application to a listing, customer-facing use, or material business reliance. Review should be performed by personnel with appropriate product knowledge and, for regulated or legally sensitive matters, by a qualified professional.
Current OppAction AI-assisted features are drafting, analysis, scoring, and review tools. The Services will not publish or modify Marketplace content without an instruction, approval, configuration, permission, or workflow Customer deliberately enables. If a plan offers batch auto-apply or another automated action, OppAction will identify that functionality and its available controls before Customer enables it.
Customer remains responsible for its final listings, claims, content, decisions, settings, permissions, connected accounts, and Authorized Users. Available activity records may be relevant evidence of an instruction or event, but they do not create an irrebuttable presumption that every action was authorized, accurate, or lawful.
5. No Professional Advice or Compliance Certification
The Services and AI Outputs do not provide legal, tax, accounting, investment, medical, regulatory, safety, scientific, intellectual-property-clearance, or other licensed professional advice. They do not certify that a listing, product, advertisement, disclosure, label, workflow, or business practice complies with law, industry standards, provider rules, or Marketplace requirements.
Customer should obtain appropriate professional review when a decision depends on specialized advice, legal interpretation, regulated claims, consumer disclosures, product safety, or rights clearance. Customer may not represent that OppAction, an AI provider, or an AI Output approved or certified Customer’s content or conduct.
6. No Business, SEO, Ranking, or Marketplace Guarantees
OppAction does not promise rankings, discoverability, impressions, traffic, click-through rates, conversions, sales, revenue, profit, return on investment, reduced costs, Marketplace approval, account standing, listing acceptance, or any other commercial result. Marketplace algorithms, buyer behavior, competition, product quality, pricing, inventory, advertising, and third-party rules are outside OppAction’s control and may change without notice.
An observed score, recommendation, correlation, benchmark, or historical result does not establish that a change caused or will cause a particular outcome.
7. Product Claims, Regulated Categories, and High-Risk Uses
AI Outputs may suggest or restate product, health, safety, environmental, sustainability, efficacy, compatibility, warranty, origin, certification, performance, pricing, scarcity, or comparison claims. Customer must possess appropriate evidence and make all disclosures required before using a claim.
Products or claims involving health, medicine, supplements, food, cosmetics, children, finance, safety, regulated devices, controlled goods, or other restricted categories require heightened review and may be prohibited by law, a Marketplace, an AI provider, or the AUP. Customer must not use the Services for an unreviewed high-stakes decision affecting a person’s rights, safety, or access to essential opportunities.
Separate from product-claim review, Customer must not submit the Prohibited Sensitive Data identified in the DPA and Privacy Policy: health information; full payment-card data; government identifiers; biometric data; precise geolocation; children’s Personal Data; GDPR special-category data; or comparable sensitive or regulated data. No exception is permitted without OppAction’s prior written Legal approval, a documented lawful basis, and an approved secure technical workflow. Because free-form inputs cannot guarantee technical prevention, OppAction may restrict affected processing and apply its containment, deletion, and incident-response procedures if it identifies accidental receipt.
8. Output Rights, Similarity, and Intellectual-Property Risk
Subject to the Terms, OppAction assigns to Customer any rights OppAction may have in AI Outputs generated specifically for Customer, excluding OppAction Materials and third-party materials. This does not promise that an AI Output qualifies for copyright or other protection or that Customer owns rights no party can lawfully obtain or transfer.
AI Outputs may contain common language or resemble content generated for others or available publicly. OppAction does not guarantee originality, uniqueness, exclusivity, non-infringement, trademark availability, or freedom to use an output. Customer must perform the rights, similarity, factual, and brand review appropriate to the intended use.
9. Customer Content, AI Providers, Training, and Retention
OppAction may transmit Customer Content to OpenAI’s API as necessary to provide enabled AI-assisted features. Data sent may include text-based product or catalog content, instructions, metadata, permitted store context, previous suggestions and scores, eligible Shopify-hosted product-image URLs, and image alt text. OppAction does not currently send merchant-uploaded documents, support attachments, or other general file uploads to OpenAI.
For image analysis, OppAction sends the existing Shopify-hosted image URL as a temporary image input. OpenAI may retrieve the image from that URL to perform the requested analysis. OppAction does not download, cache, or separately store a copy of the source image file for OpenAI processing; it may retain relevant optimization results and image-alt-text recommendations.
OppAction’s production OpenAI project uses Global processing residency and OpenAI’s default abuse-monitoring retention. Responses requests use store: false, background mode is disabled, and optional API data sharing is disabled. Store: false prevents Responses application-state storage but does not disable separate abuse-monitoring retention, which may retain limited API content for up to 30 days under default controls. Exceptional safety retention may apply to flagged image inputs. OppAction has not documented approval for Zero Data Retention or Modified Abuse Monitoring and does not represent that either control applies.
OpenAI states that API inputs and outputs are not used to train or improve its models by default unless the API customer affirmatively opts in to data sharing. OppAction will not use non-public Customer Content to train a generalized AI model made available to other customers or the public unless Customer expressly opts in. Where Customer Content contains Personal Information that OppAction processes on Customer’s behalf, the DPA controls and limits that processing. OppAction may use Usage Data, human feedback, evaluations, and De-identified Data as permitted by the Agreement, Privacy Policy, DPA, and applicable law. This Disclaimer does not expand OppAction’s processing rights. Current provider information is maintained at https://oppaction.com/subprocessors.
10. Automation, Batch Actions, APIs, and Connected Workflows
If OppAction makes an automated, batch, API, synchronization, publishing, or agentic feature available, errors can be amplified across many records or trigger unintended external actions. Before Customer enables batch auto-apply or another automated action, OppAction will identify the feature’s disclosed function and available controls. Customer should test a small representative sample, validate mappings and permissions, use available approval controls, maintain appropriate backups or exports, monitor execution, and maintain a practical rollback or correction process.
Customer is responsible for instructions, scopes, credentials, permissions, settings, and workflows deliberately configured by its authorized personnel. OppAction may apply documented limits, throttling, safeguards, review gates, or emergency controls as permitted by the Terms. No feature eliminates the need for proportionate human supervision.
11. Third-Party and Marketplace Dependencies
AI-assisted and connected features may depend on OpenAI, Shopify, cloud infrastructure, browsers, networks, and other third-party systems. Those parties may change models, APIs, data controls, rate limits, permissions, policies, or availability; reject or modify requests; suspend accounts; or experience outages and errors.
OppAction does not control a Marketplace’s approval, ranking, enforcement, account, or listing decisions. Customer must comply with the rules that apply to its connected Marketplace account and should maintain its own business-continuity procedures for material workflows.
12. Security and Account Responsibility
No AI system, software service, network, authentication method, or connected workflow can be guaranteed completely secure or continuously available. Customer must safeguard credentials and tokens, use appropriate access controls, limit permissions, promptly revoke former-user access, and report suspected compromise as described in the Terms or Documentation.
Security features and abuse-detection systems reduce risk but may fail or generate false positives. The Terms, Privacy Policy, and any applicable DPA govern security commitments, incident handling, retention, and allocation of responsibility.
13. Acceptable Use and Provider Restrictions
Customer must use AI-assisted and connected functionality in compliance with the AUP, applicable law, applicable Marketplace rules, and provider policies presented as governing a feature. Prohibited uses include deceptive or illegal content, rights violations, privacy abuse, unsafe or unreviewed high-stakes decisions, circumvention of safeguards, and other conduct identified in the AUP.
Provider and Marketplace restrictions may change. OppAction may restrict a request or feature when reasonably necessary to comply with law, provider obligations, Marketplace rules, or the enforcement provisions of the Agreement.
14. Beta Features and Service Changes
A feature identified as beta, preview, experimental, or evaluation may be incomplete, unstable, changed, limited, or discontinued. OppAction may change models, providers, prompts, scoring methods, interfaces, or supported features as described in the Terms. OppAction will update this Disclaimer prospectively when material disclosures change and will provide notice or obtain affirmative reacceptance when required by the Terms, DPA, or applicable law. Passive publication does not override a required notice, acceptance, or consent.
15. Governing Terms and Contact
The Terms—including their warranty disclaimers, liability limitations and carveouts, indemnification provisions, dispute-resolution framework, change rules, and order of precedence—govern this Disclaimer. This Disclaimer does not create a separate liability cap, expand an indemnity, waive a non-waivable right or remedy, or override a negotiated Order, DPA, or Feature Addendum under the Terms’ hierarchy.
